All rights reserved. ## 1. What this licence covers This licence governs the **Licensed Materials**: the avatar runtime (the JavaScript program and its accompanying files that Voqalize serves from `avatar.voqalize.com` and its other hosts) and the **Characters** (the avatar models, textures, rigs, motion data and any other character files that Voqalize serves from those hosts), in every version and in any form, whether encrypted, compressed or otherwise encoded. It does not cover the `@voqalize/avatar` npm package, which is licensed under the terms stated in that package, or the third-party components listed in section 8, which remain under their own licences. The Licensed Materials are licensed, not sold. Voqalize and its licensors keep all rights, title and interest in them, including all intellectual property rights. The only rights you have are those this licence expressly grants. ## 2. The grant For as long as you (or the organisation you act for) have an active account with, or agreement for, the Voqalize service and comply with this licence, Voqalize grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to allow end users' web browsers to load and run the Licensed Materials **solely**: - as loaded by an official release of the `@voqalize/avatar` package, directly from Voqalize's hosts; and - to display an avatar during sessions served by the Voqalize service. ## 3. Restrictions Except as expressly permitted in section 2, or as far as applicable law expressly permits despite this restriction, you must not, and must not help or allow anyone else to: - copy, download for storage, cache (other than the ordinary caching a web browser does), mirror, host, redistribute, sell, rent, lease or sublicense any of the Licensed Materials; - extract, dump or capture any Character or part of one, including its mesh, morph targets, textures, rig or motion data, from the runtime, from a browser, from a graphics API or from network traffic; - decompile, disassemble, deobfuscate, decrypt or otherwise reverse engineer the Licensed Materials, or attempt to derive their source code, data formats, algorithms or parameters; - remove, disable, circumvent or work around any encryption, obfuscation, access control or other technological measure that protects the Licensed Materials; - modify the Licensed Materials or create derivative works of them, including new characters built from, fitted to, or using a Character as a template or reference; - use the Licensed Materials, or any output of them (including rendered frames or recordings of an avatar's motion), to train, fine-tune, evaluate or benchmark any machine-learning model, or to build a product that renders or animates avatars; - use the Licensed Materials with any service other than the Voqalize service; - remove or alter any copyright, licence or attribution notice in the Licensed Materials. ## 4. Characters and likeness The Characters depict fictional persons. You must not present a Character as a real person, or use a Character in content that is unlawful, defamatory, sexually explicit, or deceptive about the fact that the user is speaking to an automated agent. ## 5. Updates and availability Voqalize may change, update or withdraw any version of the Licensed Materials at any time. Voqalize intends to keep serving each version that a released `@voqalize/avatar` package loads, but does not guarantee that it will. ## 6. Termination This licence ends automatically, without notice, when your access to the Voqalize service ends or when you breach this licence. Voqalize may also end it by notice. When it ends, you must stop loading and using the Licensed Materials and delete any copies you hold. Sections 1, 3, 7, 9 and 10 survive termination. ## 7. No warranty THE LICENSED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. ## 8. Third-party components The Licensed Materials include or are derived from the components below, which remain under their own licences. Nothing in this licence restricts rights you have under those licences in the original components. - **three.js** (MIT licence), copyright its authors. - **MediaPipe canonical face mesh** (Apache License 2.0), copyright Google LLC. The Characters' face topology is derived from it, with modifications by Voqalize. - **ICT-FaceKit** (MIT licence), copyright the University of Southern California Institute for Creative Technologies. The Characters' dental arch is derived from it, with modifications by Voqalize. Limitation of liability TO THE FULLEST EXTENT PERMITTED BY LAW, VOQALIZE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO THE LICENSED MATERIALS. VOQALIZE'S TOTAL LIABILITY UNDER THIS LICENCE WILL NOT EXCEED THE FEES YOU PAID FOR THE VOQALIZE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. ## 10. General - **Relation to other terms.** If you have a signed agreement with Voqalize, or have accepted Voqalize's Terms of Service, those terms also apply. Where they conflict with this licence about the Licensed Materials, this licence prevails unless the signed agreement says otherwise. - **Governing law.** This licence is governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction. - **Remedies.** A breach of section 3 would cause Voqalize irreparable harm, so Voqalize may seek injunctive relief in addition to any other remedy. - **Notices.** Legal notices to Voqalize go to Voqalize Technologies Private Limited, Ground Floor, Obeya Gusto, 367, 5th Main Rd, Sector 6, HSR Layout, Bengaluru, Karnataka 560102, India.
